Notice of Proposed Amalgamation

In accordance with section 221(4) of the Companies Act 1993,

1. ANGLESEA SURGICAL CENTRE LIMITED (Company Number: 8140337) (“ASCL”) and ANGLESEA DAY PROCEDURE LIMITED (Company Number: 9034433) (“ADPL”) are each referred to in this notice as an “amalgamating company” and together the “amalgamating companies”.

2. The board of each amalgamating company gives notice that:

1. The amalgamating companies propose to amalgamate and continue as ANGLESEA SURGICAL CENTRE LIMITED.
2. Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of an amalgamating company or any person to whom an amalgamating company is under an obligation at the registered offices of the amalgamating companies, being:

1. for ASCL: Connect2 Chartered Accountants, 2 Cameron Road, Tauranga 3110; and
2. for ADPL: Maisey Harris & Co Limited, 2 Cameron Road, Tauranga 3110,

during normal business hours.

3. A shareholder or creditor of an amalgamating company or any person to whom an amalgamating company is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to an amalgamating company.
