Public Notice of Amalgamation Proposal

Pursuant to Section 221(4) of the Companies Act 1993

ENABLE SERVICES LIMITED (Company Number: 1307400) and ENABLE NETWORKS LIMITED (Company Number: 3406812), each an “amalgamating company”.

The board of each amalgamating company hereby gives notice that the amalgamating companies propose to amalgamate and continue as one company called ENABLE NETWORKS LIMITED.

The board of each amalgamating company gives notice that:

1. Copies of the amalgamation proposal are available for inspection during normal business hours by any shareholder or creditor of either of the amalgamating companies, or any person to whom either of the amalgamating companies is under an obligation, at the registered office of the amalgamating companies, Level 3, 93 Cambridge Terrace, Christchurch; and
2. A shareholder or creditor of either of the amalgamating companies, or any person to whom either of the amalgamating companies is under an obligation, is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to the amalgamating companies.
