Notice of Reconvened Watershed Meeting of Creditors

Pursuant to Section 239AU of the Companies Act 1993

Notice is given that a reconvened watershed meeting of the creditors of NONI B HOLDINGS NZ LIMITED (administrators and receivers appointed) will be held on Tuesday, 17 June 2025 at 3.00pm (NZST). The meeting will be held virtually.

The purpose of the meeting is to:

1. Consider the administrators’ report
2. Resolve pursuant to a vote of creditors:
   1. whether to execute a Deed of Company Arrangement*.
   2. whether to bring the administration to an end (such that control of the company reverts to its directors); or
   3. whether the company should be liquidated.

*Please note no DOCA has been submitted to or proposed by the administrators.

Proxy / voting forms should be received by the administrators no later than 4.00pm NZST on Monday, 16 June 2025. If you provided a claim form and proxy or postal vote form for the initial watershed meeting that was adjourned, these are valid for the reconvened meeting.
