Pursuant to section 160(3) of the Crown Entities Act 2004 (“Act”), I, Yi Nicholl, Deputy Treasury Solicitor, give notice that, with effect from 21 February 2025, the Honourable Nicola Willis, Minister of Finance and the Honourable Chris Bishop, Minister for Infrastructure, gave approval, under section 160(1)(b) of the Act, to National Infrastructure Funding and Financing Limited (“company”):

1. Acquiring financial products under section 161 of the Act for the purposes contemplated by purposes 3.1(a) and (b) of the company’s constitution;
2. Borrowing money or amending the terms of any borrowing under section 162 of the Act for the purposes contemplated by clause 3.1(b) of the company’s constitution;
3. Giving any guarantees and indemnities, or amending the terms of any such guarantees or indemnities, relating to the borrowing of money (including the arrangement of any debt facilities), acquisition of financial products or use of derivatives under section 163 of the Act for the purposes contemplated by clause 3.1(b) of the company’s constitution; and
4. Entering into an agreement constituting a derivative or amending the terms of that agreement under section 164 of the Act for the purposes contemplated by clauses 3.1(a) and (b) of the company’s constitution.
