Pursuant to section 160(3) of the Crown Entities Act 2004 (“CEA”), I, Matthew Tolan, Senior Solicitor, acting under delegated authority from the Minister of Finance and the Secretary to the Treasury, hereby give notice that:

1. For the purposes of section 100 and 160(1)(b) of the CEA, on 29 June 2025, the Honourable Nicola Willis, Minister of Finance, and on 1 July 2025, the Honourable Simon Watts, Minister of Climate Change, approved New Zealand Green Investment Finance Limited (“NZGIF”) and any of its Crown entity subsidiaries (as defined in the CEA) (the NZGIF Group), other than Carbn Group Holdings Limited (“Carbn”) and its subsidiaries:

  1. acquiring financial products;
  2. with or without security, giving guarantees and indemnities, and amending the terms of any such guarantees and indemnities; and
  3. entering into any agreement constituting a derivative or amending the terms of such an agreement, subject to specified conditions, including:
    1. NZGIF’s adoption of a Use of Financial Powers Policy covering particular matters;
    2. no new or increased investment commitment or repayment date; and
    3. reporting and assurance conditions.

2. For the purposes of section 100 and 160(1)(b) of the CEA, on 28 May 2025, the Honourable Nicola Willis, Minister of Finance and the Honourable Simon Watts, Minister of Climate Change, approved Carbn and its subsidiaries:

  1. acquiring financial products;
  2. borrowing from any person, and amending the terms of any borrowing;
  3. with or without security, giving guarantees and indemnities, and amending the terms of any such guarantees and indemnities; and
  4. entering into any agreement constituting a derivative, or amending the terms of such an agreement.
