Notice of First Meeting of Creditors

Pursuant to Sections 239ADW(1)(b) and 239AO(1)(b) of the Companies Act 1993 (“Act”)

Notice of Appointment

We give notice that on 10 October 2025, Rees Logan and George Bannerman, Licensed Insolvency Practitioners of BDO Auckland, Registration Numbers IP34 and IP147 respectively, were appointed by the entities to be joint and several administrators (“administrators”) of the entities, in accordance with section 239I of the Act.

Notice to Creditors

All creditors should forward details of any claim they may have against the entities, including details of any claims made against the assets of the entities in the prescribed claim form, to the administrators at the address detailed below. Claim forms have been sent to creditors and are also available on request.

Notice of Joint First Meeting of Creditors

Notice is now given that a meeting of the creditors of the entities will be jointly held (in accordance with section 239AL of the Act) on 21 October 2025 at BDO Auckland, Level 4, BDO Centre, 4 Graham Street, Auckland 1010 at 1.30pm.

If any creditor wishes to object to the joint meeting, they must submit their objections to the administrators to the address detailed below to be received no later than on 17 October 2025 at 1.30pm. Unless any creditor objects in accordance with this notice, all creditors will be taken to have agreed to the joint meeting. Notwithstanding that the first creditors meeting may be a joint meeting, voting for the motions will be conducted separately for each of the entities.

Creditors may also attend online (Microsoft Teams) by giving notice to bri.akl@bdo.co.nz before 1.30pm on 17 October 2025.

The business to be dealt with at the meeting is for creditors of each of the entities to decide:

1. whether to appoint a creditors’ committee and, if so, its members; and
2. whether to replace the administrators.
