Notice of Appointment of Administrator

Notice is given that on 31 May 2025 the board of MODERE NEW ZEALAND LIMITED resolved, pursuant to section 239I of the Companies Act 1993 (“Act”), to appoint Fabian Kane Micheletto, Licensed Insolvency Practitioner (IP160) of Melbourne, Australia, as administrator of the company (“administrator”).

Notice of Meeting of Creditors

The first meeting of creditors of the company as prescribed by section 239AN of the Act will be held via video conference facilities on 12 June 2025 commencing at 12.00pm NZST.

The purpose of the meeting is to:

1. Decide whether to appoint a creditors’ committee and, if so, to appoint its members.
2. Decide whether to replace the administrator.
3. Receive and consider the directors’ statement of the company’s position.
4. Submit and consider an overview of the conduct of the administration.

Notice to Secured Creditors

Pursuant to sections 239ABC and 239ABL of the Act, notice is given that any person who holds a charge over the whole, or substantially the whole, of the company’s property, has 10 working days from the date of the administration to enforce its security, failing which it will lose its opportunity to do so, without specific leave of the administrator or the High Court.
