Notice of Joint Watershed Meeting

Pursuant to Section 239AU of the Companies Act 1993 (“Act”)

Notice is hereby given that the watershed meeting of the creditors of the companies will be held on Friday, 7 June 2024 at 10.00am:

• At Distinction Hamilton Hotel & Conference Centre, 100 Garnett Avenue, Te Rapa, Hamilton.

Creditors of the company will be sent a Zoom link to the meeting.

Agenda

• To consider the administrator’s report and opinion regarding the business, affairs, and financial circumstances of the companies.
• In each case for the creditors of the company to consider and vote on whether the company should execute a Deed of Company arrangement or be placed into liquidation or whether the administration should end.
• To vote on whether a creditor committee should be formed.
• Any other business that may lawfully be brought forward.

Creditors may exercise their right to vote in person or by appointing a proxy or by postal vote. Proxy/voting forms should be received by the administrators no later than Wednesday, 5 June at 10.00am. The meeting will be streamed online to creditors only, however online voting is not being accepted.

Please note that creditors must have submitted a creditor claim form by 10.00am on Wednesday, 5 June 2024 if they wish to vote at the meeting.

The administrators intend to hold a joint meeting of the related companies in accordance with section 239AL. A creditor may object to a joint meeting by sending written notice to the administrator’s postal, email or street address by 12.00pm, Tuesday, 4 June 2024. If no objection is received in accordance with this notice, creditors will be taken to consent to the joint meeting.
