Notice of Meeting of Creditors

Pursuant to Section 239ADF of the Companies Act 1993

Notice is given that:

1. Stephen Robert White and John Howard Ross Fisk were appointed joint and several deed administrators of the companies on 11 September 2023.

2. A joint meeting of the creditors of the companies will be held at 10.00am on Friday 24 May 2024. The meeting will take place at PwC Tower, Level 27/15 Customs Street West, CBD, Auckland 1010.

3. The business to be dealt with at the meeting is to consider in respect of each of the companies:

1. Terminating the Deed of Company Arrangement (DOCA); and
2. Placing the company into liquidation, with Stephen Robert White and John Howard Ross Fisk appointed as joint and several liquidators.

4. The text of the resolutions to be voted on are as follows:

1. For BROTHERS BEER HOLDINGS LIMITED (Subject to Deed of Company Arrangement):
1. It is resolved that the Deed of Company Arrangement (DOCA) dated 11 September 2023 be terminated; and
2. It is resolved that the company be placed into liquidation with Stephen Robert White and John Howard Ross Fisk becoming joint and several liquidators.
2. For BROTHERS BEER LIMITED (Subject to Deed of Company Arrangement):
1. It is resolved that the Deed of Company Arrangement (DOCA) dated 11 September 2023 be terminated; and
2. It is resolved that the company be placed into liquidation with Stephen Robert White and John Howard Ross Fisk becoming joint and several liquidators.
3. For BROTHERS WHOLESALE LIMITED (Subject to Deed of Company Arrangement):
1. It is resolved that the Deed of Company Arrangement (DOCA) dated 11 September 2023 be terminated; and
2. It is resolved that the company be placed into liquidation with Stephen Robert White and John Howard Ross Fisk becoming joint and several liquidators.

5. Creditors may exercise their right to vote by being present in person, or by appointing a proxy or by postal vote.
