Notice of Appointment of Administrators

Benjamin Francis and Garry Whimp give notice that we were appointed administrators of the companies by a resolution of directors on 28 March 2024 pursuant to section 239I of the Companies Act 1993 (“Act”).

Notice is also given that, pursuant to section 239AN and Schedule 5 of the Act, a first meeting of creditors of the companies will be held at the Distinction Hamilton Hotel & Conference Centre, 100 Garnett Avenue, Te Rapa, Hamilton on 11 April 2024 at 12.00pm.

A Zoom link will be provided to creditors on request.

The purpose of the meeting is to determine:

• Whether to appoint a creditor's committee, and if so, to appoint its members; and
• Whether to replace the administrators

The administrators intend to hold a joint meeting of the related companies in accordance with section 239AL. A creditor may object to a joint meeting by sending written notice to the administrator’s postal, email or street address by 12.00pm, Monday, 8 April 2024. If no objection is received in accordance with this notice creditors will be taken to consent to the joint meeting.

Notice is also given that postal votes and proxies must be received by the administrators no later than 12.00pm on Tuesday, 9 April 2024.

Please note that this meeting is for creditors of the companies only, or their representative. Any other persons will be denied access.

Whilst the administrators may accept the value of your creditor’s claim for voting at a meeting of creditors, this does not constitute acceptance of your claim for the purposes of future dividend distribution. The administrators reserve all rights to further scrutinise and admit claims for the purposes of a distribution or call for new claims to be filed if they require,
