Public Notice of Amalgamation Proposal

Pursuant to Section 221(4) of the Companies Act 1993

Notice is given that SHARE NZ LIMITED (“Share NZ”) and SHARE NZ SERVICES LIMITED (“Services”), being the amalgamating companies, propose to amalgamate with effect from the date a certificate of amalgamation is issued by the Registrar of Companies (being a date no less than 20 working days from the date of this notice) and continue as Services.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of Share NZ or Services or any other person to whom Share NZ or Services is under an obligation, at the registered office of Share NZ and Services, being Level 2, 132 Hurstmere Road, Takapuna, Auckland 0622, during normal business hours of 9.00am to 5.00pm.

A shareholder or creditor of Share NZ or Services or any other person to whom Share NZ or Services is under an obligation is entitled upon request to be supplied free of charge with a copy of the amalgamation proposal.
