Public Notice of Amalgamation Proposal

Pursuant to Section 221(4)(b) of the Companies Act 1993 (“Act”)

Notice is given, pursuant to section 221(4)(b) of the Companies Act 1993, that AOTEA GROUP HOLDINGS LIMITED and AGHL LIMITED, being the amalgamating companies, propose to amalgamate, with AGHL LIMITED to continue as the amalgamated company.

Copies of the amalgamation proposal are available for inspection during normal business hours by any shareholder or creditor of an amalgamating company or any person to whom the amalgamating company is under an obligation, at the registered offices of the amalgamating companies:

Moore Stephens Markhams Otago Limited, 2 Clark Street, Dunedin 9016

and at the following place:

The offices of Webb Farry Lawyers, Level 8, ASB House, 248 Cumberland Street, Dunedin 9016.

A shareholder or creditor of an amalgamating company, or any person to whom an amalgamating company is under an obligation, is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to an amalgamating company.
