Notice of Joint Watershed Meeting

Pursuant to Sections 239AT and 239AU of the Companies Act 1993 (“Act”)

Notice is hereby given that the joint watershed meeting of the creditors of the companies, to decide the future of the companies, will be held (in accordance with section 239AL of the Act) on Thursday, 24 November 2022 at 11.00am at the offices of BDO Wellington (Level 1, Chartered Accountants House, 50 Customhouse Quay, Wellington).

Notwithstanding that the watershed meeting may be a joint meeting, voting on the resolutions will be conducted separately for each of the companies.

Creditors who are unable to attend the meeting on location may attend online (via Microsoft Teams) subject to providing the relevant claim form and proxy/postal documents by the due date. Please contact Brad Burness at the Administrators’ office before 11.00am on Tuesday, 22 November 2022 should you wish to attend the meeting online.

Agenda

1. To consider the Administrators’ report and opinion about the companies’ business, property, affairs and financial circumstances.
2. For the creditors of the companies to consider and vote on whether the companies should be placed into liquidation or whether the administration should end.
3. Any other business that may lawfully be brought forward.

Resolutions

The following resolutions will be submitted for voting on at the meeting:

Resolution A: It is resolved that the company be placed into liquidation; and

Resolution B: It is resolved that the administration end and the control of the company be returned to the directors.

Creditors may exercise their right to vote by being present in person, or by appointing a proxy or by postal vote. Creditors attending online can only vote by submitting a postal vote form and/or proxy form. Postal votes and proxies must be received before 11.00am on Tuesday 22 November 2022.
