Notice of Reconvening Watershed Meeting

Pursuant to Sections 239AT, 239AU(1)(A) and 239AZ(1) of the Companies Act 1993 (“Act”)

Notice is hereby given that the administrators will reconvene the watershed meeting of the creditors of the company to decide the company’s future, at 1.00pm on Thursday 28 July 2022 at BDO Auckland, Level 4, Building A, BDO Centre, 4 Graham Street, Auckland 1010.

Agenda

The nature of business to be dealt with at the watershed meeting is as follows:

1. To consider the administrators’ report and opinion about the company’s business, property, affairs and financial circumstances;
2. For the creditors of the company to consider and vote on the following resolutions:

   Resolution 1 It is resolved that the company execute a Deed of Company Arrangement (“DOCA”).
   Resolution 2 It is resolved that the company be placed into liquidation.
   Resolution 3 It is resolved that the administration end.

3. Any other business that may lawfully be brought forward.

Creditors may exercise their right to vote by being present in person, or by appointing a proxy or by postal/email vote. Postal votes and proxies must be received on or before 1.00pm on Tuesday 26 July 2022.

Given the small number of company creditors, creditors will be allowed to vote online during the watershed meeting by emailing the voting form to amy.glubb@bdo.co.nz. Please contact Amy Glubb before 1.00pm Tuesday 26 July 2022, to confirm whether you wish to vote online during the watershed meeting.
