Notice of Appointment of Liquidator to Solvent Companies

Pursuant to Section 255(2)(a) of the Companies Act 1993

Noel Allan Walton, chartered accountant, was appointed liquidator of the companies in accordance with section 241(2)(a) of the Companies Act 1993 by the passing of a special resolution by entry in the minute books of the companies on 4 February 2022 at the times stated below:

WESTCO LAGAN LIMITED (in liquidation) at 10.15am.

COLEDEX HOLDINGS LIMITED (in liquidation) at 10.30am.

Declarations of Solvency

Declarations signed by the directors have been lodged with the Registrar of Companies stating that in the directors’ opinion each of the companies will be able to pay its debts in full in the 12 months after the appointment of a liquidator.

The solvent liquidations are being undertaken as part of a group restructuring. Please note that WESTCO LUMBER LIMITED (Company Number: 5801048, NZBN: 9429041970553) is not in liquidation, that company continues to trade and it is unaffected by these liquidations.

Notice to Creditors and Claimants

Pursuant to section 243(8) of the Companies Act 1993, the liquidator is not required to call meetings of creditors. However, any creditor or claimant on the companies is asked to contact the liquidator urgently. For the avoidance of any doubt, I hereby fix 9 March 2022 as the date by which any creditor or claimant is to make a claim and to establish any priority their claim may have.
