Notice of Appointment of Liquidators

The Companies Act 1993 (“CA93”) and the Limited Partnerships Act 2008 (“LPA08”)

Resolutions as to Solvency

On 4 May 2020 the directors of TERAX 2013 LIMITED (“company”) resolved “that the company would, on the appointment of a liquidator under section 241(2)(a) of the Companies Act 1993, be able to pay its debts”.

On 4 May 2020 the company, as general partner of TERAX LIMITED PARTNERSHIP (“LP”) resolved “that the Partnership would on the appointment of a liquidators under section 88 of the Limited Partnerships Act 2008, be able to pay its debts”.

Notice is hereby given that:

  1. On 4 May 2020 at 10.30am it was resolved by special resolution of shareholders, pursuant to section 241(2)(a) of the CA93, that the company be liquidated and that Christopher Carey McCullagh and Stephen Mark Lawrence of PKF Corporate Recovery & Insolvency (Auckland) Limited, both RITANZ Insolvency Practitioners accredited by CA ANZ, be appointed jointly and severally as liquidators for that purpose.
  2. On 4 May 2020 at 10.40am it was resolved by a resolution of partners pursuant to section 88 of the LP08, and in accordance with the terms of partnership agreement, that Christopher Carey McCullagh and Stephen Mark Lawrence be also appointed jointly and severally as liquidators of the LP for the purpose of winding-up of its affairs and distributing any residual assets.

Notice to Creditors to Prove Debts or Claims

Notice is given that the liquidators have fixed the 4 July 2020, as the day on or before, the creditors of the above-mentioned entities are to make their claims, and establish any priority their claims may have under section 312 of the CA93, or to be excluded from the benefit of any distribution made before the claims made, as the case may be, from objecting to the distribution.
