Notice of Joint First Meeting of Creditors

Pursuant to Sections 239AN and 239AO(1)(a) of the Companies Act 1993 ("Act")

Company Numbers: 3383573, 3383875, 2240072

We, Andrew Bethell and Andrew McKay, both Chartered Accountants and RITANZ Accredited Insolvency Practitioners of BDO Auckland, Level 4 BDO Centre, 4 Graham Street, Auckland, and Colin Gower, RITANZ Accredited Insolvency Practitioner of BDO Christchurch Limited, Level 4, 287/293 Durham Street North, Christchurch, were appointed joint administrators of the above-named companies by the companies on 28 February 2019. The administration commenced on that date.

Notice to Secured Creditors

Pursuant to Section 239ABL of the Companies Act 1993

Notice is hereby given that any creditor who has valid security over the whole, or substantially the whole of the property of the companies in administration has 10 working days from the date of administration to enforce its security, failing which it will lose its opportunity to do so, without specific leave of the administrators or of the Court.

Notice to Creditors

All creditors should forward details of any claim they may have against the companies, including details of any claims made against the assets of the companies pursuant to reservation of title or otherwise, to the administrators at the address denoted below

Notice of Joint First Meeting of Creditors

Notice is now given that a meeting of the creditors of the companies will be jointly held (in accordance with section 239AL of the Act) at the following locations on Tuesday 12 March 2019 at 2.30pm.

Auckland

Wellington

The business to be dealt with at the meeting is for creditors of each of the companies to:

  1. Decide whether to appoint a creditor's committee and, if so, to appoint its members; and
  2. whether to replace Andrew James Bethell, Andrew John McKay and Colin Anthony Gower as administrators.

The text of the resolutions to be voted on for each of the companies are as follows:

  1. for the appointment of a creditors’ committee pursuant to section 239AN(1)(a) of the Companies Act 1993; and
  2. for the replacement of Andrew James Bethell, Andrew John McKay and Colin Anthony Gower as administrators pursuant to section 239AN(1)(b) of the Companies Act 1993.

You are entitled to cast a postal vote by completing the attached voting paper in respect of the resolutions and returning it by mail to Andrew Stuart, BDO Auckland, PO Box 2219, Auckland 1140, so that it is received not later than 24 hours before the start of the meeting. Andrew Stuart, BDO Auckland, PO Box 2219, Auckland 1140, is authorised to receive and count postal votes in relation to the meeting.

As noted above we propose to hold a joint first meeting of creditors of the three companies to which we have been appointed. We believe that holding a joint meeting of the 3 companies will be more efficient and cost effective than holding separate meetings, however if any creditor wishes to object to the joint meeting they may do so by submitting an objection in writing to the administrators via postal, email or street address (as set out below). The administrator must receive objections by midday on Monday, 11 March 2019. Unless any creditor objects in accordance with this notice, all creditors will be taken to have agreed to the joint meeting. Notwithstanding that the first creditors meeting may be a joint meeting, voting for the motions will be conducted separately for each of the companies.
