Notice of Proposed Amalgamation

Notice is hereby given, pursuant to section 221(4)(b) of the Companies Act 1993, that WILSHIRE 246 LIMITED and VW HOLDING LIMITED (“amalgamating companies”) propose to amalgamate.

The amalgamated (continuing) company is to be WILSHIRE 246 LIMITED.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of an amalgamating company or any person to whom an amalgamating company is under an obligation at the registered offices of the amalgamating companies detailed below during normal business hours.

A shareholder or creditor of an amalgamating company or any person to whom an amalgamating company is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to an amalgamating company.

The registered offices for the amalgamating companies are 8B, 3–13 Shortland Street, Auckland 1010.
