Notice of Proposed Amalgamation

Notice is hereby given, pursuant to section 221(4) of the Companies Act 1993, that GROSVENOR FINANCIAL SERVICES GROUP LIMITED and GFSG HOLDINGS LIMITED (“amalgamating companies”) propose to amalgamate on 30 June 2016.

The amalgamated (continuing) company will be GROSVENOR FINANCIAL SERVICES GROUP LIMITED.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of an amalgamating company or any person to whom an amalgamating company is under an obligation, at the registered offices of the amalgamating companies during normal business hours.

A shareholder or creditor of an amalgamating company, or any person to whom an amalgamating company is under an obligation, is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to an amalgamating company.

The Registered Office for Both Amalgamating Companies is: Level 5, Alcatel Lucent Building, 13–27 Manners Street, Wellington 6011.
