Notice of Proposed Amalgamation

Pursuant to section 221(4) of the Companies Act 1993 (“Act”), the boards of directors of H M WINLOVE LIMITED, VANWIN FINANCE LIMITED and WINLOVES APPLIANCES LIMITED give notice that they propose to amalgamate in accordance with section 220 of the Act, with the resulting company being H M WINLOVE LIMITED.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of an amalgamating company or any person to whom either amalgamating company is under an obligation at the registered offices of the amalgamating companies during normal business hours.

Any shareholder or creditor of either amalgamating company or any person to whom an amalgamating company is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to the registered office of the amalgamating companies at 127 Ruataniwha Street, Waipukurau.

The amalgamation will take effect on 29 April 2016.
