Public Notice of Proposed Amalgamation
Pursuant to Section 221(4) of the Companies Act 1993

The boards of directors of INTERNATIONAL UNDERWRITING AGENCIES LIMITED and I.U.A. (HOLDINGS) LIMITED ("the amalgamating companies") give notice that the amalgamating companies propose
to amalgamate, pursuant to an amalgamation proposal,
with INTERNATIONAL UNDERWRITING AGENCIES LIMITED becoming the amalgamated (continuing) company.
The date of the proposed amalgamation is intended to be effective on 1 April 2012.
If the necessary documents have not been filed as at 1 April 2012, the effective date will be on the date such documents are filed (being not less than 20 working days from the date of this notice).
Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of an amalgamating company, or any person to whom an amalgamating company is under an obligation, at the registered offices of the amalgamating companies during normal business hours.
Any shareholder or creditor of an amalgamating company, or any person to whom an amalgamating company is under an obligation, is entitled to be supplied free of charge with
a copy of the amalgamation proposal upon request to an amalgamating company.
