Public Notice of Proposed Amalgamation
Notice is hereby given, pursuant to section 221(4)(b) of
the Companies Act 1993, that MILLENNIUM RADIO LIMITED and RADIO BAY OF PLENTY LIMITED, being the amalgamating companies, propose to amalgamate. MILLENNIUM RADIO LIMITED will continue as the surviving legal entity.
All assets and undertaking of each amalgamating company and all rights, obligations and liabilities owing by or to
each amalgamating company will, upon amalgamation, be transferred to the amalgamated company.
The proposed amalgamation will take effect on 1 January 2013 or such later date as all necessary documents are
filed with the Registrar of Companies and an amalgamation certificate is issued.
Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of an amalgamating company, or any person to whom an amalgamating company is under an obligation, at the registered offices of each amalgamating company during normal business hours.
A shareholder or creditor of an amalgamating company,
or any person to whom an amalgamating company is under an obligation, is entitled to be supplied free of charge
with a copy of the amalgamation proposal upon request to an amalgamating company.
