Notice of Proposed Amalgamation
Pursuant to Section 221 of the Companies Act 1993
Notice is hereby given that the boards of directors of PLANIT, R.W. BATTY & ASSOCIATES LIMITED
and PLANIT ZOMAC PARTNERSHIP LIMITED have resolved to amalgamate, with PLANIT, R.W. BATTY
& ASSOCIATES LIMITED becoming the amalgamated company, renamed PLANZ CONSULTANTS LIMITED.
Further, all rights, obligations and liabilities owing by or to the amalgamating companies will, upon amalgamation, be transferred to the amalgamated company.
The date of the proposed amalgamation is 1 August 2012 (being not less than 20 working days from the date of this notice).
Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of the amalgamating companies or any person to whom an amalgamating company is under an obligation at the registered offices of the amalgamating companies during normal business hours.
Any shareholder or creditor of an amalgamating company
or any person to whom an amalgamating company is under an obligation is entitled to be supplied free of charge with
a copy of the amalgamation proposal upon request to an amalgamating company.
The registered office for each amalgamating company is care of Staples Rodway, Level 2, AMI House, 116 Riccarton Road, Riccarton, Christchurch 8041.
