Public Notice of Amalgamation Proposal
Pursuant to Section 221(4)(b) of the Companies Act 1993 ("the Act")
Notice is given, pursuant to Part XIII of the Companies
Act 1993, of a proposed amalgamation under which L’OREAL NEW ZEALAND LIMITED and YSL BEAUTE (NZ) LIMITED will amalgamate with each other on and with effect from 31 January 2010 and L’OREAL NEW ZEALAND LIMITED will continue
as the amalgamated company unless, pursuant to section 226 of the Act, written application is made to the Court that such amalgamation would be unfairly prejudicial, before the date on which the amalgamation becomes effective.
Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of either
company, or any person to whom either company is under an obligation, at the registered offices of the companies, which is:
65 Hugo Johnson Drive, Penrose, Auckland.
A shareholder or creditor of either company, or any
person to whom either company is under an obligation, is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to either company.
