Notice in Repect of an Amalgamation Proposal
Pursuant to Section 221(4)(b) of the Companies Act 1993
It is proposed that FNZ Holdings Limited and Kiwi NZ MergeCo Limited amalgamate in accordance with Part XIII of the Companies Act 1993 ("the amalgamation proposal").
Kiwi NZ MergeCo Limited will continue as the amalgamated company.
Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of either company or any person to whom either company is under an obligation at the registered offices of each company during normal business hours, being:
FNZ Holdings Limited, 10th Floor, Fujitsu Tower, 282 Lambton Quay, Wellington.
Kiwi NZ MergeCo Limited, c/o Harmos Horton Lusk, Level 37, Vero Centre, 48 Shortland Street, Auckland.
A shareholder or creditor of either company or any person to whom either company is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to the appropriate company at its registered office stated above, marked for the attention of the company secretary.
