On 7 March 2007 at 12.00 midday, it was resolved by special resolution, pursuant to section 241(2)(a) of the Companies Act 1993, that Proactive Workwear Co. NZ Limited
be liquidated and that Kevin John Gilligan, insolvency practitioner of Auckland, be appointed liquidator.

3. To consider whether to appoint any other nominees as liquidator(s) of the company.
