Notice in Respect of an Amalgamation Proposal
Pursuant to Section 221 (4) (b) of the Companies Act 1993
It is proposed that GE Capital Fleet Services New Zealand Limited amalgamate with GE Fleet New Zealand in accordance with Part XIII of the Companies Act 1993
(“the amalgamation proposal”).
Upon amalgamation, GE Fleet New Zealand will continue as the amalgamated company.
Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of the above named companies or any person to whom either of the companies
is under an obligation at the registered office of the companies, being:
106 Customs Street West, Viaduct Basin, Auckland
during normal business hours.
A shareholder or creditor of either of the above named companies or any person to whom either of the companies is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request
to either of the companies at their registered office stated above, marked for the attention of the legal counsel.
