Public Notice of Amalgamation Proposal
Notice is hereby given of the proposed amalgamation of
the following wholly-owned subsidiaries of Goodman Fielder Limited:
Country Foods New Zealand Limited
Goodman Fielder Dairy New Zealand Limited
Goodman Fielder New Zealand Limited
Huttons Kiwi Limited
Marlborough Milk Limited
Meadow Fresh Franchise Limited
Meadow Fresh Limited
New Zealand Dairy Foods (Asia/Pacific) Limited
New Zealand Dairy Foods Holdings Limited
New Zealand Dairy Foods Limited
New Zealand Dairy Foods Pty Limited
New Zealand Milk Corporation Limited
NZDF Brands Limited
NZDF Investments Limited
Puhoi Valley Cheese Company Limited
Rockfield Moulders Limited
United Dairy Foods Limited
Upon completion of the proposed amalgamation, Goodman Fielder New Zealand Limited will be the amalgamated
(or surviving) company.
The amalgamation is part of an intra-group reorganisation and will not involve any change to the operations of the amalgamating companies.
Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of any amalgamating company, or any person to whom any of those companies is under an obligation, at the registered offices of the companies during normal business hours.
Any shareholder or creditor of any amalgamating company, or any person to whom any amalgamating company is under an obligation, is entitled to be supplied free of charge with
a copy of the amalgamation proposal by writing to the registered office of that company requesting a copy.
The registered office for Marlborough Milk Limited is:
59 High Street, Blenheim.
The registered office for each of the other amalgamating companies is:
Avanti Finance Building, Block A, 65 Main Highway, Greenlane, Auckland.
The proposed amalgamation is to be effective on or about the 30th day of June 2006.
