Notice of Intention to Cease Carrying on Business in

XS Energy International, LLC, a company incorporated under the laws of the State of Nevada, United States of America, and registered under Part XVIII of the Companies Act 1993 as an overseas company, gives notice, under section 341 (1) (a) of that Act, of its intention to cease carrying on business in New Zealand on the 5th day of August 2006 or soon after that date.
