Take notice that on the 19th day of November 2004, an application for an order, under section 174 of the Companies Act 1993, in respect of Pali Posts Limited (the defendant company) and Alan Laurenson (the second defendant as shareholder/director of the defendant company) was filed in the High Court at Auckland.
The orders sought are:
(1) An order for valuation of Alan Laurenson's shares in Pali Posts Limited;
(2) An order that Alan Laurenson offer his shares in Pali Posts Limited for sale at the price determined by the valuer;
(3) An order directing Pali Posts Limited to purchase Alan Laurenson's shares or alternatively that the company on-sell the shares to the plaintiff; and
(4) An order removing Alan Laurenson as a director of Pali Posts Limited.
The application is to be heard before the High Court at Auckland on the 3rd day of February 2005 at 11.45 a.m.
Any person, other than the defendant company, who wishes to appear on the hearing of the application must file an appearance not later than the second working day before
that day.
