Notice in Respect of an Amalgamation Proposal
Pursuant to Section 221 (4) (b) of the Companies Act 1993
It is proposed that First NZ Capital Group Limited, FNZC Group Limited and First NZ Securities Capital Limited amalgamate in accordance with Part XIII of the Companies Act 1993 ("the amalgamation proposal").
Upon amalgamation, FNZC Group Limited will continue as the amalgamated company under the name First NZ Capital Limited.
Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of First NZ Capital Group Limited, FNZC Group Limited or First NZ Securities Capital Limited or any person to whom First NZ Capital Group Limited, FNZC Group Limited or First NZ Securities Capital Limited is under an obligation at the registered offices of First NZ Capital Group Limited, FNZC Group Limited and First NZ Securities Capital Limited during normal business hours being:

Shareholders, creditors and any other person to whom First NZ Capital Group Limited, FNZC Group Limited or First NZ Securities Capital Limited is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to First NZ Capital Group Limited, FNZC Group Limited or First NZ Securities Capital Limited at its registered office stated above.
