Public Notice of Amalgamation Proposal
Pursuant to Section 221 (4) of the Companies Act 1993
Notice is given by Seeka Eleos Limited and Eleos Limited of an amalgamation proposal affecting the companies.
It is proposed that Eleos Limited amalgamate into Seeka Eleos Limited and that the two companies continue as one company, under the name Eleos Limited.
The date of the proposed amalgamation is the 17th day of December 2004, being not less than 20 working days from the date of this notice.
Copies of the amalgamation proposal are available for inspection during normal business hours by any shareholder or creditor of Seeka Eleos Limited or of Eleos Limited, or any person to whom Seeka Eleos Limited or Eleos Limited is under an obligation, at the registered offices of:
Seeka Eleos Limited, situated at the offices of Wood Walton Chartered Accountants Limited, 55 Eighth Avenue, Tauranga; or of
Eleos Limited, at 242 Rangiuru Road, Te Puke.
A shareholder or creditor of Seeka Eleos Limited or of Eleos Limited, or any person to whom Seeka Eleos Limited or Eleos Limited is under an obligation, is
entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to Seeka Eleos Limited or Eleos Limited.
