Notice of Meeting of Creditors
Section 243 of the Companies Act 1993
To: All creditors of Lincoln Property Management Limited (in liquidation).
Notice is given that a meeting of creditors of Lincoln Property Management Limited (in liquidation) will be held at Ernst & Young Limited, Sixth Floor, Ernst & Young House, 227 Cambridge Terrace, Christchurch, on the 29th day of October 2004 at 10.00 a.m.
Business
1. Appointment of Liquidator
To consider whether to appoint another liquidator in place of the present liquidator who was appointed by the shareholders of the company and if thought fit to pass the following resolution:
"That no liquidator be appointed to replace the present liquidator."
2. Conduct of the Liquidation
To consider whether the liquidator should be asked
to have regard to the views, if any, of creditors in conducting the liquidation and, if thought fit, to pass the following resolution:
"That no views as to the conduct of the liquidators be placed before the liquidator."
Proxies
Any creditor entitled to attend and vote at the above meeting may vote either by being present in person or by proxy.
A proxy must be appointed by a written notice signed by the creditor which must state whether the appointment is for
a particular meeting or for a specified term not exceeding
12 months. A proxy is entitled to attend and be heard as if the proxy were the creditor. To be effective the proxy form must be deposited with the liquidator of the company not later than 48 hours before the start of the meeting.
Postal Voting
Any creditor entitled to attend and vote at the above meeting may vote by casting a postal vote on all or any of the matters to be voted on at the meeting. The company's liquidator is the person authorised to receive and count postal votes at the meeting. To be effective, the marked voting paper must be received by the liquidator not later than 24 hours before the start of the meeting.
Notice to Creditors to Prove Debts or Claims
Notice is hereby given that as liquidators of the
above-named company, we fix the 6th day of November 2004, as the day on or before which the creditors of the company are to make their claims and establish any priority their claims may have, under section 312 of the Companies Act 1993, or to be excluded from the benefit of any distribution made before the debts are claimed or, as the case may be, from objecting to the distribution.
