Notice of Amalgamation Proposal
The directors of Nissho Iwai New Zealand Limited and Nichimen Co. (N.Z.) Limited have resolved to amalgamate the companies with effect on the 31st day of December 2003.
The amalgamated company, being Nissho Iwai New Zealand Limited, will change its name upon amalgamation to Nissho Iwai Nichimen New Zealand Limited.
Pursuant to section 221 (4) (b) of the Companies Act 1993, copies of the amalgamation proposal are available for inspection by any shareholder or creditor of an amalgamating company or any person to whom an amalgamating company is under an obligation, at the registered offices of the amalgamating companies during normal business hours.
Any shareholder or creditor or person to whom an amalgamating company is under an obligation, is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to either of the amalgamating companies.
