Foothill Capital Corporation, a duly incorporated company having its registered office at 2450 Colorado Avenue,
Suite No. 3000W, Santa Monica, California, United States of America, on the 25th day of July 2003, appointed
Steven Blaustein, of 200 East Lexington Street, Suite 909, Baltimore, Maryland, United States of America, as receiver and manager of all or any of the property of Quantum Global New Zealand under the powers contained in a debenture dated the 4th day of May 2001, which property consists of all present and after acquired property.
