Notice to Public of Proposed Amalgamation
Notice is hereby given, pursuant to section 221 (4) of the Companies Act 1993, that the board of directors of Accent Group Limited (an amalgamating company) hereby gives notice that it is intended to amalgamate Accent Group Limited, Accent Footwear Limited and Accent 2002 Limited, pursuant to the provisions of Part XIII of the Companies Act 1993, and to continue as an amalgamated company, being Accent 2002 Limited, with effect from the 31st day of July 2002 (being a date at least 20 working days after the date of this notice).
Further, all rights, obligations and liabilities owing by or
to the amalgamating companies will, upon amalgamation,
be transferred to the amalgamated company.
Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of Accent Group Limited or any person to whom Accent Group Limited is under an obligation at the registered offices of Accent Group Limited during normal business hours.
Any shareholder or creditor of Accent Group Limited
or any person to whom Accent Group Limited is under
an obligation is entitled to be supplied free of charge with
a copy of the amalgamation proposal upon request to the company.
