Notice of Proposed Amalgamation
Pursuant to Section 221 (4) of the Companies Act 1993
Notice is hereby given that an amalgamation proposal to effect the amalgamation of Central Hawke's Bay Works Limited and Tararua Roading Limited as from the 1st day of July 2002, has been submitted to the Central Hawke's Bay District Council, the sole shareholder of Central Hawke's Bay Works Limited, and to TDC Holdings Limited, the sole shareholder of Tararua Roading Limited, by the respective boards of Central Hawke's Bay Works Limited and Tararua Roading Limited.
Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of either Central Hawke's Bay Works Limited or Tararua Roading Limited or to any person to whom either company is under an obligation at the registered offices of the respective companies, namely:
Lindsay Road, Waipukurau,
and at the:
corner of Vogel and McLean Streets, Woodville,
during normal business hours.
Further, a shareholder or creditor of either of the amalgamating companies, or any person to whom either amalgamating company is under an obligation, is entitled
to be supplied free of charge with a copy of the amalgamation proposal upon request to the relevant amalgamating company.
The attention of a shareholder or creditor of either amalgamating company, or a person to whom an amalgamating company is under an obligation, is drawn
to the provisions of section 226 of the Companies Act 1993 (power of Court).
