Pursuant to section 8 (c) of the New Zealand Stock Exchange Restructuring Act 2002 (“the Act”), notice is hereby given that:
1. The board of directors (“the board”) of the
New Zealand Stock Exchange (“the NZSE”) prepared a restructuring proposal dated 23 September 2002 (“the restructuring proposal”) under section 6 of
the Act, under which the NZSE would, pursuant
to section 10 of the Act, convert into a company, to
be called NZSE Limited, on the restructuring day
(as defined in section 4 of the Act).
2. At a special general meeting of members of the
NZSE held on 16 October 2002, at Auckland,
the NZSE members (as defined in section 4 of the Act) have, under section 7 of the Act, approved
the conversion of the NZSE into a company, to be called NZSE Limited, on the restructuring day in accordance with the restructuring proposal.
