Notice of Registration of Special Partnership
It is certified, pursuant to section 56 of the Partnership
Act 1908 ("the Act"), that Hettich New Zealand
Holdings Limited & Company has been formed as a special partnership, pursuant to Part II of the Act, and registered at the High Court of New Zealand (Auckland Registry) on the 22nd day of March 2001 under No. S.P. 2/01, as provided below:
Name, Address and Capital Contribution of the General Partner: Hettich New Zealand Holdings Limited,
3 Neil Park Drive, East Tamaki, Auckland.
Capital Contribution: Nil.
Special Partners:
(a) Anton Hettich GmbH & Co., 32269 Kirchlengern, Postfach 1240, Germany.
Capital Contribution: $400,000.
(b) Dr Erwin Hettich GmbH & Co., 32269 Kirchlengern, Postfach 1240, Germany.
Capital Contribution: $400,000.
Partnership Business: To carry on in New Zealand the business of importing, manufacturing and distributing joinery components and to undertake or carry on any other activity or business ancillary or incidental thereto.
Principal Place of Business: At the registered office of the General Partner, 3 Neil Park Drive, Tamaki, Auckland.
Term of the Partnership: The term of the partnership is from the 22nd day of March 2001 and shall end upon the sooner to occur of:
(a) the registration of a certificate of dissolution, pursuant to section 62 of the Act; or
(b) the expiration of 7 years from the 22nd day of March 2001 or, if the term of the partnership shall have been extended in accordance with sections
57 and 58 of the Act, then the expiration of the extended term.
