Notice in Respect of an Amalgamation Proposal
Pursuant to Section 221 (4) (b) Companies Act 1993
It is proposed that Global Dairy Company Limited, Kiwi Co-operative Dairies Limited and the New Zealand
Co-operative Dairy Company Limited ("merging companies") will amalgamate and form a new company to be called Global Dairy Company Limited in accordance with Part XIII of the Companies Act 1993, on the terms set out in a merger proposal dated the 24th day of May 2001 ("merger proposal").
Copies of the merger proposal are available for inspection by any shareholder or creditor of the merging companies or any person to whom any of the merging companies are under an obligation at the web site or the registered office of Global Dairy Company Limited, being Ground Floor, 4 Newton Road, Auckland. A shareholder of any of the merging companies, any creditor of the merging companies or any person to whom any of the merging companies is under an obligation is entitled to be supplied free of charge with a copy of the merger proposal upon request at the registered office stated above.
