Pursuant to Section 51 of the Partnership Act 1908

In the matter of Part II of the Partnership Act 1908, and in the matter of a Special Partnership to known as Botancial Gardens Subdivision (2000) Limited and Company:
It is hereby certified, pursuant to section 51 of the Partnership Act 1908, that:
1. The name of the Special Partnership is Botancial Gardens Subdivision (2000) Limited and Company.
2. The names, addresses, descriptions and capital contributions of the General and Special Partners are as set forth in the Schedule hereto.
3. The business of the partnership will be as follows:
3.01 To carry on the buiness of acquiring, developing, subdividing and selling urban and rural land, being initially, but not limited to, all those parcels of land containing FIRSTLY 11.6945 hectares, being Lot 1, D.P. 85177 and all certificate of title 53A/640 (Wellington Registry), 8.735 hectares, being part Lot 1, D.P. 49059, all certificate of title 53A/641 (Wellington Registry) AND SECONDLY 24.5893 hectares, being all the land in the certificates of title 38D/253, 38B/71, 389/72, 30B/939 and part certificate of title 30B/941 (all Wellington Registry).
3.02 To enter into such financial and contractual obligations as shall be deemed necessary, advantageous or incidental to the purposes hereof.
3.03 To undertake such other activities as shall be deemed necessary, advantageous or incidental to the purposes hereof.
4. The principal place from which the business of the partnership is conducted will be the offices of Colbert Cooper Limited, 275A Oxford Street, Levin, being the office of the General Partner.
5. The partnership shall commence upon registration of this certificate, pursuant to section 54 of the Partnership Act 1908, and subject to the provisions in the partnership deed relating to earlier dissolution or renewal, shall terminate on the
23rd day of December 2006.
