Notice of Liquidation and Notice to Creditors in Respect of the Voluntary Liquidation of the Company
This notice is given, pursuant to section 245 of the Companies Act 1993. Please take notice that:
1. The company, CCCYA Limited, was placed into liquidation at 9.00 a.m. on the 31st day of March 2000, pursuant to section 241 (2) (a) of the Companies Act 1993.
2. Jon Charles Ash, chartered accountant of Lock & Partners at Auckland, was appointed liquidator as at 9.00 a.m. on the 31st day of March 2000.
3. On the 31st day of March 2000, a copy of the resolution passed by the board of directors as required by section 243 (8) of the Companies Act 1993, was filed in the Companies Office at Auckland on the 30th day of March 2000.
4. Pursuant to section 245 of the Companies Act 1993, the liquidator hereby gives notice of his intention to dispense for the meeting of creditors because:
(a) Having regard to the assets and liabilities of the company including all contingencies and the likely result of the liquidation of the company and all other relevant matters that no such meeting should be held;
(b) The directors have signed a certificate, pursuant to section 243 (9) of the Companies Act 1993. The company is solvent and the liquidation is part of a restructuring.
(c) No meeting of creditors will be held unless the liquidator receives notice in writing within
10 working days after the date of service of this notice.
5.
