Continental Distributors (Auckland) Limited (``the company'') Notice of Proposed Amalgamation Pursuant to Section 221 (4) (b) of the Companies Act 1993 1. It is proposed to amalgamate the company and Continental Distributors Limited, under sections 220 and 221 of the Companies Act 1993 (``the amalgamation proposal'') on Friday, the 31st day of October 1997. Continental Distributors Limited will continue as the amalgamated company and will succeed to all the property, rights, powers, privileges, liabilities and obligations of the company. The company will be removed from the Register of Companies following the amalgamation. 2.
