Maurice Kain Holdings Limited (``the company'') Public Notice of Amalgamation Proposal Pursuant to Section 209c (4) of the Companies Act 1955 Notice is given by Maurice Kain Holdings Limited of an amalgamation proposal affecting the company. The proposal involves the amalgamation under Part VA of the Companies Act 1955, of Broadwood Investments Limited, the company and Maurice Kain Investments Limited on the basis that Maurice Kain Investments Limited will continue as the amalgamated company. Copies of the amalgamation proposal are available for inspection during normal business hours by any shareholder or creditor of the company or of Broadwood Investments Limited or of Maurice Kain Investments Limited, or any person to whom the company or Broadwood Investments Limited or Maurice Kain Investments Limited is under an obligation, at the registered offices of the three companies, all situated at Level Four, Textile Centre, Kenwyn Street, Parnell, and also at Level Seven, Tasman Buildings, 1622 Anzac Avenue, Auckland. A shareholder or creditor of the company or of Broadwood Investments Limited or of Maurice Kain Investments Limited, or any person to whom the company or Broadwood Investments Limited or of Maurice Kain Investments Limited is under an obligation, is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request, to the company or to Broadwood Investments Limited or to Maurice Kain Investments Limited.
