Powerco Limited and Taranaki Energy Limited Public Notice of Proposed Amalgamation Pursuant to Section 221 (4) of the Companies Act 1993 Powerco Limited of Wanganui and Taranaki Energy Limited of New Plymouth, hereby give notice that the 2 companies propose to amalgamate and continue as 1 company under the name of Powerco Limited. An amalgamation proposal together with the further information required by section 221 (3) of the Companies Act 1993, has been sent to the shareholders of each company. The amalgamation proposal will be considered by the shareholders of each company at shareholders' meetings in August/September 1995 and if the proposal is approved by a special resolution of the shareholders of both companies, the amalgamation will become effective on 1 October 1995. Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of either company or any person to whom either company is under an obligation at the registered offices of each company, that is Powerco Limited, 151 St Hill Street, Wanganui and Taranaki Energy Limited, Level Two, Civic Centre Building, Liardet Street, New Plymouth, during normal business hours. A shareholder or creditor of either company or any person to whom either company is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to the secretary of either company.
