Notice of Resolution for Voluntarily Winding Up a Company In the matter of the Companies Act 1955, and in the matter of Synectics Corporation Limited: Notice is hereby given that by a duly signed entry in the minute book of the above-named company, pursuant to section 362 (1) of the Companies Act 1955, on the 30th day of June 1994, the following extraordinary resolution was passed by the company: ``That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up and that accordingly the company be wound up voluntarily. ``That A. J. McCullagh, be and is hereby appointed as provisional liquidator, pursuant to section 362 (8) of the Companies Act 1955. ``That the remuneration of the liquidator be recovered from the assets of the company.'' Notice is hereby given that a meeting of creditors of the company is to be held on Wednesday, the 13th day of July 1994 at 10.00 a.m. at the offices of Horwaith Brannigan McCullagh & Co, Level Ten, Barclays House, 70 Shortland Street, Auckland. A form of proxy is to be used at the meeting which must be lodged with the provisional liquidator at the above address or P.O. Box 3678, Auckland.
