Wakefield Downs Vineyards Limited Notice of Special Resolution for Voluntary Winding Up Pursuant to Section 269 (1) of the Companies Act 1955 It was resolved by a special resolution of members dated the 27th day of June 1994, as provided by section 362 (1) of the Companies Act 1955: That the company be wound up voluntarily in accordance with section 268 (1) (b) of the Companies Act 1955. It was further resolved: That John Rowland Leslie, chartered accountant of Blenheim, be appointed liquidator for the purpose of winding up the affairs of the company, distributing the assets and attending to all statutory obligations required under the Companies Act 1955. A statutory declaration of solvency was filed with the District Registrar of Companies prior to the passing of these resolutions. Please note that this is a voluntary winding up by the members of the company as the company has now fulfilled its purpose.
