Notice of Joint Watershed Meeting

Pursuant to Sections 239AT and 239AU(1)(a) of the Companies Act 1993

Notice is given that a joint watershed meeting of the creditors of the entities, will be held (in accordance with section 239AL of the Act) at BDO Auckland, Level 4 BDO Centre, 4 Graham Street, Auckland and online via a Microsoft Teams meeting for those who RSVP to attend online (details below) at 11.00am on Tuesday, 7 July 2026.

If any creditor wishes to object to the joint meeting, they must submit their objections to the administrators to the address detailed below to be received no later than 11.00am on Friday, 3 July 2026.

Unless any creditor objects in accordance with this notice, all creditors will be taken to have agreed to the joint meeting. We note that voting on the resolutions will be conducted jointly for the entities as they are jointly liable for all debts, liabilities and obligations.

Creditors may also attend online (Microsoft Teams) by giving notice to bri.akl@bdo.co.nz before 11.00am on Friday, 3 July 2026.

The business to be dealt with at the joint meeting is for creditors to:

• Consider the administrators’ report and opinion about the entities business, property, affairs and financial circumstances.
• Consider and vote on whether the Administrations should end for each of the entities.
• Consider and vote on whether a Deed of Company Arrangement is entered into.
• Consider and vote on whether each of the entities should be placed into liquidation.
• Consider any other business that may lawfully be brought forward.
