Notice of Joint Watershed Meeting

Pursuant to Sections 239AT and 239AU(1)(a) of the Companies Act 1993

Notice is given that a joint watershed meeting of the creditors of the companies, will be held (in accordance with section 239AL of the Act) on Thursday, 7 May 2026 at 2.00pm at BDO Wellington, Level 1, 50 Customhouse Quay, Wellington.

If any creditor wishes to object to the joint meeting, they must submit their objections to the administrators to the address detailed below to be received no later than 2.00pm on 5 May 2026. Unless any creditor objects in accordance with this notice, all creditors will be taken to have agreed to the joint meeting. Notwithstanding that the watershed meeting may be a joint meeting, voting on the resolutions will be conducted separately for each of the companies.

Creditors may also attend online (via Microsoft Teams) by giving notice to Simon Macpherson by email as detailed below before 5 May 2026 at 2.00pm.

The business to be dealt with at the joint meeting is for creditors to:

  • Consider the administrators’ report and opinion about the companies business, property, affairs and financial circumstances.
  • Consider and vote on whether the administration should end for each of the companies.
  • Consider and vote on whether each of the companies should be placed into liquidation.
  • Any other business that may lawfully be brought forward.
