Pursuant to section 160(3) of the Crown Entities Act 2004 (“Act”), The Honourable Nicola Willis, Minister of Finance hereby gives notice that, with effect from 1 March 2026, the Honourable Nicola Willis, Minister of Finance and the Honourable Shane Jones, Minister for Regional Development, gave approval, under section 160(1)(b) of the Act, to Crown Regional Holdings Limited (“Company”):

1. Entering into an agreement constituting a derivative or amending the terms of that agreement under section 164 of the Act where the derivative is an Equity Option embedded in a Host Contract;
2. Where “Equity Option” means a derivative transaction in which one party grants to another party the right, but not obligation, to purchase (in the case of a call) or sell (in the case of a put) equity securities at a price and on a date in the future; and
3. Where “Host Contract” means an agreement that is entered into for the purposes of providing financial support for regional or other economic development in New Zealand approved by Shareholding Ministers in accordance with the Company’s constitution.
